These Terms & Conditions govern participation in the Tilleybilleys Growth Academy Affiliate Programme (“Affiliate Programme”).

The Affiliate Programme is operated by Tilleybilleys Growth Academy Ltd (“we”, “us”, “our”).

By applying for, joining or participating in the Affiliate Programme, you (“Affiliate”, “you”, “your”) agree to these Terms & Conditions.

1. Eligibility

You must be 18 years of age or over to participate in the Affiliate Programme.

Applications may be reviewed before approval. We reserve the right to approve or reject an application at our discretion.

Acceptance into the Affiliate Programme does not create an employment, partnership, agency, franchise or joint venture relationship between you and Tilleybilleys Growth Academy Ltd.

Affiliates participate as independent parties and are responsible for their own business, tax, accounting and legal obligations arising from commission income.

2. Affiliate Commission

Unless otherwise stated for a particular promotion, approved Affiliates will earn:

40% commission on eligible Tilleybilleys Growth Academy course sales successfully referred by the Affiliate.

Commission is calculated on the eligible course sale value used by our affiliate system for commission purposes, excluding amounts such as applicable taxes, shipping, shipping taxes, tips, refunds and other excluded charges.

The Affiliate Programme currently launches with Etsy Mastery, with other eligible Tilleybilleys Growth Academy courses potentially being added in the future.

Not every product, service, event, physical product, bespoke service, special offer or future Tilleybilleys Growth Academy offering is automatically eligible for 40% commission.

We will identify which products or courses are eligible for affiliate commission.

3. Referral Tracking

Affiliate referrals are tracked through approved affiliate tracking methods provided through our affiliate platform.

The standard referral tracking period is currently 100 days, subject to the operation of the tracking technology and the customer's cookie/privacy choices.

A referral is not guaranteed simply because an Affiliate introduced a customer to Tilleybilleys Growth Academy.

The affiliate tracking system must successfully attribute the eligible transaction to the Affiliate.

Where tracking information is unavailable, blocked, deleted or cannot reasonably establish the referral, commission may not be payable.

4. Customer Discounts

Participation in the Affiliate Programme does not automatically provide customers with a discount.

Affiliate links or tracking methods are primarily used to attribute eligible sales to Affiliates.

Affiliates must not advertise or imply that customers will receive a discount unless Tilleybilleys Growth Academy Ltd has expressly authorised a particular discount or promotion.

5. Self-Referrals

Affiliates may not earn commission on purchases made by themselves or purchases made primarily for their own benefit.

Attempts to use the Affiliate Programme to obtain an unauthorised personal rebate or discount may result in commission being cancelled and/or removal from the Affiliate Programme.

6. When Commission Is Earned

A tracked referral does not automatically mean that commission has been finally earned or approved.

Commission may remain pending while we verify the transaction.

Commission will not be payable on:

• cancelled orders;
• refunded or fully reversed transactions;
• fraudulent transactions;
• chargebacks;
• duplicate transactions;
• self-referrals;
• transactions that breach these Terms;
• transactions where payment is not successfully received; or
• transactions that have been manipulated to obtain commission improperly.

Where a transaction is partially refunded, the corresponding commission may be adjusted proportionately.

7. Commission Payments

Where a referred customer pays the full course price upfront, the Affiliate's approved commission will be paid 7 days after the customer's successful payment, provided the transaction remains eligible and has not been cancelled, refunded, charged back or identified as fraudulent.

Where a referred customer chooses a 3-month payment plan or subscription, the Affiliate's commission will be paid after the customer has successfully completed all payments due under the 3-month payment plan. No affiliate commission payment will be made before the full payment plan has been successfully completed.

If a payment plan is cancelled, defaults, is refunded or otherwise remains unpaid in full, the related commission may be reduced or cancelled as appropriate.

Affiliates are responsible for providing accurate payment information.

We may hold, adjust or cancel commission where a transaction is subject to a refund, cancellation, chargeback, failed payment, fraud investigation or other verification issue.

Affiliates are responsible for declaring and paying any tax, National Insurance or other liabilities applicable to their affiliate income.

8. Advertising and Affiliate Disclosure

Affiliates must clearly disclose their commercial relationship with Tilleybilleys Growth Academy whenever required by applicable advertising, consumer protection or platform rules.

Affiliate content must be clearly identifiable as advertising where required.

Appropriate disclosures may include prominent wording such as “Ad” or another disclosure that clearly communicates the commercial nature of the content.

The disclosure must not be hidden in hashtags, placed somewhere consumers are unlikely to see it, or presented in a misleading way.

Affiliates are responsible for complying with the advertising rules applicable to the country and platforms in which they promote our courses.

9. Claims About Etsy Mastery and Other Courses

Affiliates must promote Tilleybilleys Growth Academy courses accurately and responsibly.

Affiliates must not:

• guarantee sales;
• guarantee Etsy rankings;
• guarantee income or profit;
• promise that students will make a particular amount of money;
• describe Etsy Mastery as a guaranteed route to business success;
• make false or misleading statements about Tilleybilleys Growth Academy;
• fabricate testimonials or results;
• exaggerate the contents or benefits of a course;
• make claims that we have not authorised or cannot substantiate; or
• imply that Tilleybilleys Growth Academy or its courses are endorsed by Etsy unless we expressly state otherwise.

Etsy Mastery is an educational programme. Individual business results vary and depend on numerous factors.

10. Approved Marketing Materials

We may provide Affiliates with:

• images;
• graphics;
• videos;
• copy;
• course information;
• webinar materials;
• affiliate links;
• promotional assets; and
• other marketing materials.

Affiliates may use these materials to promote eligible Tilleybilleys Growth Academy offers while participating in the Affiliate Programme.

Our intellectual property remains our property.

Affiliates must not materially alter our branding, logos, testimonials or claims in a way that becomes misleading or damages the brand.

11. Brand and Intellectual Property

The names, branding, logos, course materials and intellectual property associated with Tilleybilleys Growth Academy and its programmes remain the property of their respective owners.

Participation in the Affiliate Programme gives you a limited, revocable, non-exclusive right to use approved promotional materials solely for authorised affiliate promotion.

You must stop using our branding and affiliate materials if your participation in the programme ends.

12. Paid Advertising

Affiliates must not run paid advertising using our company name, course names, trademarks or confusingly similar terms as search advertising keywords without our prior written permission.

Affiliates must not create advertisements, websites, domains or social media accounts that could reasonably cause someone to believe they are an official Tilleybilleys Growth Academy account or website.

Affiliates must not impersonate Tilleybilleys Growth Academy Ltd or its representatives.

13. Email, Messaging and Spam

Affiliates must not promote Tilleybilleys Growth Academy through unlawful unsolicited email, text messaging, direct messaging, automated messaging or spam.

Affiliates are responsible for ensuring their marketing complies with applicable privacy, electronic marketing and advertising laws.

14. Prohibited Activity

Affiliate participation may be suspended or terminated for conduct including:

• fraud;
• misleading advertising;
• false income claims;
• cookie stuffing;
• manipulating tracking;
• unauthorised self-referrals;
• impersonating Tilleybilleys Growth Academy;
• spam;
• infringement of intellectual property;
• misuse of customer information;
• promotion through unlawful or inappropriate methods; or
• conduct that we reasonably consider likely to cause serious harm to customers or the Tilleybilleys Growth Academy brand.

Commission connected with fraudulent or prohibited activity may be rejected.

15. Webinars and Lead Generation

Where Affiliates promote a free webinar, masterclass, waitlist or other lead-generation activity, commission on a subsequent course purchase is subject to successful attribution through the Affiliate Programme.

Registration for a free event does not itself create an entitlement to commission unless we expressly state otherwise.

16. Refunds and Chargebacks

If commission has already been approved or paid for a transaction that is subsequently refunded, charged back, found to be fraudulent or otherwise becomes ineligible, we reserve the right to deduct the corresponding amount from future commission where lawful and appropriate.

17. Affiliate Performance

We do not guarantee that participation in the Affiliate Programme will generate referrals, commission or income.

Affiliates determine how much time and effort they choose to devote to promoting eligible offers, subject to these Terms.

Affiliate Milestone Rewards

In addition to standard affiliate commission, Affiliates may qualify for the following milestone rewards based on successful eligible sales during the applicable promotional period:

• 5 successful sales: Etsy Mastery course place for £297;
• 10 successful sales: Etsy Mastery course place FREE; and
• 15 successful sales: Etsy Mastery course place FREE, plus a Branded Business Photoshoot.

The Branded Business Photoshoot will take place as a group shoot day, with each qualifying Affiliate allocated an individual 45-minute time slot. The shoot will include opportunities for product photography, professional headshots and business branding photographs.

Further practical details, including the date, venue, allocated time slots and any preparation requirements, will be communicated to qualifying Affiliates. Qualifying Affiliates attending the Branded Business Photoshoot are responsible for their own travel costs and refreshments. Tilleybilleys Growth Academy Ltd will not reimburse travel, food, drink or other expenses associated with attending the shoot unless expressly agreed otherwise in writing.

For milestone purposes, a successful sale must be an eligible Affiliate referral that has been successfully attributed and remains valid under these Terms. Cancelled, refunded, charged-back, fraudulent, self-referred or otherwise ineligible transactions will not count towards a milestone. Where a customer uses a 3-month payment plan, the sale will only count as successful once all payments due under that plan have been successfully completed.

Milestone rewards are based on the highest qualifying milestone reached and are not cumulative unless we expressly state otherwise. Course milestone rewards will be applied in January following the relevant promotional period, rather than being charged or awarded immediately when the Affiliate first reaches the sales threshold.

18. Changes to Commission or the Programme

We may change eligible products, commission rates, tracking periods, promotional rules or other aspects of the Affiliate Programme.

Where a material change affects existing Affiliates, we will provide reasonable notice where practicable.

Changes will apply prospectively from the effective date communicated and will not retrospectively remove commission already validly earned under the applicable terms, except where a referral was fraudulent or otherwise ineligible.

19. Suspension and Termination

You may stop participating in the Affiliate Programme at any time.

We may suspend or terminate an Affiliate's participation where these Terms are breached or where we reasonably consider continued participation inappropriate.

Valid commission earned before termination will remain subject to these Terms, including refund, fraud and verification provisions.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Subject to applicable law, Tilleybilleys Growth Academy Ltd is not responsible for indirect losses arising from participation in the Affiliate Programme, including expected or anticipated affiliate earnings.

We do not guarantee uninterrupted operation of third-party tracking platforms, social networks, websites or other technology used in connection with the Affiliate Programme.

21. Privacy and Data Protection

Personal information relating to Affiliates and referral activity will be processed in accordance with our Affiliate Privacy Notice and applicable data protection law.

Affiliate tracking may involve cookies or similar technologies, subject to applicable privacy and cookie requirements.

22. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
